1. Introduction

Welcome to Optigestix ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Optigestix platform, website, and services (collectively, the "Service") provided by Aavitech Solutions Pvt. Ltd.

By accessing, browsing, or using Optigestix, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Service. Your continued use of Optigestix indicates your acceptance of these Terms.

2. Definitions

  • "Account" – Your registered account on the Optigestix platform.
  • "Content" – All data, text, images, documents, and information you upload, store, or transmit through Optigestix.
  • "Service" – The Optigestix enterprise resource planning (ERP) platform and all associated features, modules, and functionalities.
  • "User" – Any individual or entity accessing or using Optigestix.
  • "Confidential Information" – Any non-public information shared between the parties under this agreement.

3. User Eligibility and Account Registration

3.1 Eligibility: You must be at least 18 years of age and a legal resident of a jurisdiction where Optigestix is available to use our Service. If you are using Optigestix on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

3.2 Account Registration: To use Optigestix, you must create an Account by providing accurate, complete, and current information. You agree to:

  • Provide truthful and accurate information during registration.
  • Maintain the confidentiality of your Account credentials.
  • Notify us immediately of any unauthorized access to your Account.
  • Take full responsibility for all activities that occur under your Account.

4. Service Description and Use

4.1 What Optigestix Is: Optigestix is an enterprise resource planning (ERP) platform specifically designed for construction, civil engineering, architectural, and interior design firms. The Service includes project management, financial tracking, quotation management, invoice generation, site visit documentation, virtual tour capabilities, and real-time dashboards.

4.2 Permitted Use: You agree to use Optigestix only for lawful purposes and in accordance with these Terms. You specifically agree not to:

  • Violate any applicable laws or regulations.
  • Infringe upon any intellectual property rights.
  • Transmit any malicious code, viruses, or harmful software.
  • Engage in unauthorized access or hacking attempts.
  • Harass, threaten, or defame any individual or entity.
  • Collect, harvest, or scrape user data without authorization.
  • Use the Service for competitive analysis or benchmarking.
  • Resell, redistribute, or sublicense the Service.

5. Subscription Plans and Billing

5.1 Subscription Tiers: Optigestix offers multiple subscription plans (Starter, Growth, and Enterprise). Each plan comes with specific features, user limits, and support levels as outlined on our pricing page.

5.2 Billing: Subscription fees are billed monthly or annually as selected. Payment is due on the date specified in your invoice. All fees are exclusive of applicable taxes unless otherwise stated.

5.3 Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date. You will be notified of renewal at least 7 days in advance.

5.4 Cancellation: You may cancel your subscription at any time through your Account dashboard. Cancellation will take effect at the end of your current billing period. No refunds will be issued for partial months or unused services.

5.5 Price Changes: Optigestix reserves the right to change subscription fees with 30 days' written notice. Your continued use of the Service after the notice period constitutes acceptance of the new fees.

6. User Content and Data Ownership

6.1 Ownership: You retain full ownership of all Content you upload, store, or transmit through Optigestix. We do not claim ownership of your data.

6.2 License to Company: By uploading Content to Optigestix, you grant us a limited, worldwide, royalty-free license to:

  • Store and process your Content to provide the Service.
  • Use your Content for system backup, security, and troubleshooting purposes.
  • Display your Content within your Account and to authorized team members.

6.3 Data Retention: Upon Account termination, your data will be retained for 30 days. After this period, your data will be permanently deleted unless you request otherwise or are subject to legal obligations to retain it.

7. Intellectual Property Rights

7.1 Company IP: All Optigestix software, code, design, graphics, logos, trademarks, and any other intellectual property ("Company IP") are owned by Aavitech Solutions Pvt. Ltd. or our licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for the purposes intended.

7.2 Restrictions: You may not:

  • Reverse engineer, decompile, or disassemble any part of Optigestix.
  • Copy, modify, or create derivative works of our Software.
  • Use Optigestix to develop competing products or services.
  • Remove or obscure any copyright, trademark, or proprietary notices.

8. Data Privacy and Security

8.1 Data Protection: We implement industry-standard security measures to protect your data, including:

  • SSL/TLS encryption for data in transit.
  • AES-256 encryption for data at rest.
  • Multi-factor authentication (MFA) for Account access.
  • Regular security audits and penetration testing.
  • Secure data centers with 24/7 monitoring.

8.2 Privacy Policy: Your use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy for details on how we collect, use, and protect your data.

8.3 Data Breach Notification: If we discover a data breach affecting your information, we will notify you within 72 hours of discovery, as required by applicable law.

9. Limitation of Liability

9.1 Disclaimer: OPTIGESTIX IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Liability Cap: EXCEPT FOR BREACHES OF CONFIDENTIALITY, INTELLECTUAL PROPERTY INFRINGEMENT, OR GROSS NEGLIGENCE, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

9.3 Excluded Damages: IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF SUCH POSSIBILITIES.

10. Indemnification

You agree to indemnify, defend, and hold harmless Optigestix, its officers, directors, and employees from any claims, damages, losses, or costs (including attorney's fees) arising from:

  • Your violation of these Terms.
  • Your use of the Service.
  • Your Content or actions.
  • Your violation of any applicable laws or third-party rights.

11. Acceptable Use Policy

You agree not to use Optigestix for:

  • Illegal activities or content.
  • Harassment, bullying, or threats.
  • Spam, phishing, or fraudulent activities.
  • Distribution of malware or harmful code.
  • Unauthorized access or hacking.
  • Copyright or intellectual property infringement.
  • Adult content or obscene material.

Violations may result in Account suspension or termination without notice.

12. Termination

12.1 Termination by You: You may terminate your Account at any time by contacting [email protected] or through your Account settings.

12.2 Termination by Us: We may terminate or suspend your Account immediately, without notice, if:

  • You violate these Terms or applicable laws.
  • You engage in illegal or harmful activities.
  • Your payment is declined or fraudulent.
  • You pose a security risk to our systems or users.

12.3 Effect of Termination: Upon termination, your access to Optigestix will end immediately. Your data will be retained for 30 days before permanent deletion.

13. Modifications to Service

Optigestix reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will endeavor to provide 30 days' notice of significant changes. Your continued use after notice constitutes acceptance of modifications.

14. Third-Party Services

Optigestix may integrate with third-party services, APIs, or platforms. We are not responsible for the availability, performance, or content of third-party services. Your use of third-party services is governed by their terms of service and privacy policies.

15. Dispute Resolution

15.1 Informal Resolution: Before pursuing legal action, you agree to attempt to resolve disputes informally by contacting [email protected].

15.2 Governing Law: These Terms are governed by the laws of India, without regard to conflicts of law principles.

15.3 Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

17. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Optigestix regarding the Service. If any provision is found to be unenforceable, the remaining provisions shall continue in full force.
